Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”, “your”) and Zanda (“we”, “us”, “our”), a company registered in Zambia, governing your access to and use of the Zanda platform, website, APIs, and related services (collectively, the “Service”).
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Description of Service
Zanda is a cloud-based human resource management platform that provides tools for employee management, payroll processing, leave and attendance tracking, recruitment, performance management, compliance monitoring, reporting, and AI-powered HR assistance. The Service is designed for organisations operating in African markets, with country-specific configurations for statutory requirements, currencies, and labour regulations.
3. Account Registration
To use the Service, you must create an account by providing accurate and complete information, including your company name, your full name, a valid email address, a password, and your country of operation. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately if you suspect any unauthorised use of your account.
When you register, you are designated as the account administrator for your organisation. You may invite additional users and assign roles (such as Admin, Manager, or Employee) with varying levels of access to data and features.
4. Subscription Plans and Billing
Zanda offers several subscription tiers: Starter (free, up to 5 employees), Growth, Professional, and Enterprise. Paid plans are billed monthly or annually as selected during subscription. Annual billing includes a 20% discount.
Prices are displayed in US Dollars (USD) and local currencies on our pricing page. Payment is processed through Flutterwave or other payment processors as made available. You authorise us to charge your selected payment method on a recurring basis according to your billing cycle.
We reserve the right to modify pricing with 30 days’ advance written notice. Price changes do not apply to the current billing period.
5. Free Trials
Growth and Professional plans include a 14-day free trial with full feature access. At the end of the trial, you will be prompted to subscribe to a paid plan. If you do not subscribe, your account will be downgraded to the Starter plan and features exceeding that plan’s limits will be restricted. Your data will be retained for 90 days after downgrade.
6. Customer Data
You retain all rights to the data you upload to the Service (“Customer Data”). You grant us a limited, non-exclusive licence to process Customer Data solely to provide and improve the Service. We will not access, use, or share Customer Data except as necessary to provide the Service, comply with the law, or as otherwise permitted by our Privacy Policy.
You are responsible for ensuring that you have all necessary rights, consents, and legal authority to upload and process Customer Data through the Service, including employee personal data. You represent that your use of the Service complies with all applicable data protection and employment laws in your jurisdiction.
7. Acceptable Use

Use the Service for any unlawful purpose or in violation of any applicable law or regulation. Upload data that you do not have the right to process. Attempt to gain unauthorised access to the Service, other accounts, or our systems. Interfere with or disrupt the Service, including by introducing malware, viruses, or harmful code. Reverse engineer, decompile, or disassemble any part of the Service. Scrape, crawl, or use automated tools to extract data from the Service except through our authorised API. Resell, sublicense, or redistribute the Service to third parties without our prior written consent. Use the Service to store or process data that is not related to human resource management.
8. AI Features
The Service includes AI-powered features that generate recommendations, draft documents, analyse data, and provide insights. AI outputs are provided as suggestions and should not be treated as legal, financial, tax, or professional advice. You are responsible for reviewing, validating, and approving all AI-generated content before acting on it.
AI features use third-party AI models. While we select providers with appropriate data handling practices, we do not control the underlying AI models. We make no warranty that AI outputs will be accurate, complete, or suitable for any specific purpose.
9. Intellectual Property
The Service, including all software, designs, text, graphics, logos, and other materials, is owned by Zanda and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to access and use the Service in accordance with these Terms.
The Zanda name, logo, and all related marks are trademarks of Zanda. You may not use our trademarks without our prior written consent.
10. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance (which we will endeavour to notify you of in advance), unscheduled maintenance or emergency repairs, circumstances beyond our reasonable control (including internet outages, force majeure events, and third-party service disruptions).
11. Limitation of Liability
To the maximum extent permitted by applicable law, Zanda shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service, regardless of the cause of action or the theory of liability.
Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars (USD 100), whichever is greater.
12. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific requirements, that payroll calculations will be error-free in all jurisdictions, or that AI-generated content will be accurate or legally compliant.
13. Indemnification
You agree to indemnify, defend, and hold harmless Zanda, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any applicable law, or your infringement of any third-party rights.
14. Termination
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. Upon cancellation, your data will be retained for 90 days and then permanently deleted.
We may suspend or terminate your access to the Service immediately if you violate these Terms, fail to pay applicable fees after reasonable notice, or if we are required to do so by law. We will endeavour to provide advance notice where practicable.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Republic of Zambia. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Zambia, unless otherwise required by applicable law in your jurisdiction.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by posting the revised Terms on our website and sending an email to the account administrator. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
